Mutual Non-Disclosure Agreement

1. Purpose

This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between Exquisite Expo Enterprises, LLC (the "Company") and the undersigned party (the "Recipient") to protect confidential information shared during exploratory conversations, intake, diagnostics, or any engagement.

2. Definition of Confidential Information

"Confidential Information" means any non-public, proprietary, or sensitive information disclosed by either party, whether oral, written, electronic, or visual, including business strategies, financial data, operational processes, intellectual property, client information, and proprietary frameworks (including L.E.O. Leadership Mission, Legacy OS, and Soul Meets Systems).

3. Obligations of the Parties

• Maintain Confidential Information in strict confidence
• Use it solely for the purpose of evaluating or conducting the engagement
• Not disclose it to third parties without prior written consent
• Protect it with at least the same care used for own confidential information

4. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no breach of this Agreement
• Was known to the receiving party prior to disclosure
• Is independently developed without reference to the disclosed information
• Is required to be disclosed by law or court order, with prior notice where possible

5. Term & Survival

This Agreement is effective upon execution and continues for the duration of any engagement plus three (3) years thereafter. Confidentiality obligations survive termination of any engagement.

6. Return of Materials

Upon request or termination, each party shall return or destroy all Confidential Information received, including copies, within ten (10) business days.

7. Governing Law

This Agreement is governed by the laws of the State of Illinois. Disputes shall be resolved per the dispute resolution provisions of the Master Service Agreement.

8. Execution

By signing below, the parties agree to the terms of this Mutual Non-Disclosure Agreement.
